Terms of Participation

These  Terms and Conditions, governs your access to and use of I Learnfrench.com, including any content, functionality and services offered on or through Ilearnfrench.eu (the “Website”), whether as a guest or a registered user.

Please read the Disclaimer carefully before you start to use the Website. By using the Website or by clicking to accept or agree to the Terms of Use when this option is made available to you, you accept and agree to be bound and abide by the Disclaimer. If you do not want to agree to the Terms and Conditions, you must not access or use the Website.

By purchasing this product, the following Terms and Conditions are entered into by I Learn French EURL. (“Company”, “we”, or “us”) and You (“Client”, “Participants”, “Student” or “You”) agree to the following terms stated herein.

The following terminology applies to these Terms and Conditions, Privacy Statement and Disclaimer Notice and any or all Agreements: “Customer”, “Member”, “Client”, “Participants”, “Student”, “You” and “Your” refers to you, the person accessing this website and accepting the Company’s terms and conditions. “The Company”, “Ourselves”, “We” and “Us”, refers to our Company. “Party”, “Parties”, or “Us”, refers to both the Customer and ourselves, or either the Customer or ourselves. 

“The Course” refers to any course available : Private French classes online and/or in person, and all group classes online. “The Membership” refers to any group course available on a Monthly or yearly payment. 

All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Customer in the most appropriate manner, whether by formal meetings of a fixed duration, or any other means, for the express purpose of meeting the Customer’s needs in respect of provision of the Company’s stated services/products, in accordance with and subject to, prevailing French Law. Any use of the above terminology or other words in the singular, plural, capitalisation and/or he/she or they, are taken as interchangeable and therefore as referring to the same.

MEMBERSHIP/SERVICE

As a condition of participating in the Program, you agree to be bound by and to abide by all policies and procedures set out in this Agreement, including those incorporated by reference.

As part of the Course, the Company shall provide the following to Client:

A Password Protected Membership Site Area: The Company shall maintain a Membership Area that will include video, audio and written lessons, templates, worksheets, checklists, slide decks and other training and support information. You shall have access to this Membership Area for as long as the Membership Area exists, unless you or we terminate your subscription. In the event that the Company intends to close the Membership Area, it shall provide clients with a 30 day notice and the ability to download the resources contained in the Membership Area. 

The Closed “Students Only” Facebook Group falls under this bonus category. This group is a “community run group” meaning that students are encouraged to help each other. A Community Manager, employed by the Company, oversees the group to ensure it is running smoothly. You shall have access to this closed Facebook Group area for as long as the closed Facebook Group Area exists. In the event that the Company intends to close the closed Facebook Group Area, it shall provide clients with a 30 day notice.

This site and the products offered on this site are not associated, affiliated, endorsed, or sponsored by Facebook, nor have they been reviewed, tested or certified by Facebook.

From time to time, the Company will offer bonuses to individuals who sign up for the Membership. You shall be entitled to any bonuses offered to you at the time of your enrollment. Bonuses are not guaranteed to be available for the entire lifespan of the Membership and they vary depending on specific live and automated promotions throughout the year.

USERNAME AND PASSWORD

To access certain features of the Membership, you may need a username and password. You agree to keep your username and password confidential. During the registration process for any service or product, you agree to provide true, accurate, current and complete information about yourself. If the Company has reasonable grounds to suspect that you have provided false information, shared your username and password with anyone else, or forwarded any non-public material from the Membership to any other person, the Company has the right to suspend or terminate your account and refuse any and all current or future use of the Membership, without refund. Any personally identifiable information you provide as part of the registration process is governed by the terms of the Company’s website Privacy Policy.

DISCLAIMER

Attending the course only without your work and honest efforts outside of the course won’t be enough to get results. 

When you purchase our course, you understand that there is no guarantee that you will achieve any particular result or outcome using any of the ideas, tools, strategies or recommendations presented. We make no promises or warranties concerning your likelihood of success if you don’t genuinely do the work. Success in our course is only possible if you attend every single class, participate actively and do the work before, during, and after the class. 

Your success depends entirely on your own effort, motivation, commitment and follow-through. We cannot predict and we do not guarantee that you will attain a particular result, and you accept and understand that results differ for each individual. Each individual’s results depend on his or her unique background, willingness to do the work, dedication, desire, motivation, attendance of the classes and numerous other factors. You fully agree that there are no guarantees as to the specific outcome or results you can expect from using the information you receive on or through this website, course and its content. 

You agree that this is your responsibility to know how to learn and study a language and you agree that you understand your teacher can’t do the work for you. You agree, in an effort to maximise your results, to attend every planned class on a regular basis. 

Any success, progress and results or examples shown through our website are only estimates of what might be possible now or in the future. These results are only possible when you actually do the work (attending every single class, doing all the homework, attending and participating in the class on a regular basis, being active inside and outside your class. You agree that I Learn French and anyone working for this company is not responsible for your progress, success, failure or any other result of any kind that you may have as a result of information presented to you through our website. You are solely responsible for your results. 

You agree that the Company has not made any guarantees about the results of taking any action, whether recommended on this Website or not. The Company provides educational and informational resources that are intended to help users of this website succeed in their French skills. You nevertheless recognize that your ultimate success or failure will be the result of your own efforts, your particular situation, and innumerable other circumstances beyond the control and/or knowledge of the Company.

You also recognize that prior results do not guarantee a similar outcome. Thus, the results obtained by others – whether clients or customers of the Company or otherwise – applying the principles set out in this Website are no guarantee that you or any other person or entity will be able to obtain similar results.

You agree to only purchase goods or services for yourself or for another person for whom you are legally permitted to do so or for whom you have obtained the express consent to provide their name, address, method of payment, credit card number, and billing information.

You agree to be financially responsible for all purchases made by you or someone acting on your behalf through the Website or its Content. You agree to use the Website and its Content for legitimate, non-commercial purposes only and not for speculative, false, fraudulent, or illegal purposes. 

You must use the Website and its Content for lawful purposes only.  You agree that you will not use the Website or its Content in any of the following ways:

  • For fraudulent purposes or in connection with a criminal offence or otherwise carry out any unlawful activity
  • To send, use or re-use any material that is illegal, offensive, abusive, indecent, harmful, defamatory, obscene or menacing, threatening, objectionable, invasive of privacy, in breach of confidence, infringing any intellectual property rights, or that may otherwise may injure others. 
  • To send, negatively impact, or infect our Website or its Content with software viruses or any other harmful or similar computer code designed to adversely affect the operation of any computer software or hardware, commercial solicitation, chain letters, mass mailings or any spam, whether intended or not
  • To cause annoyance, inconvenience or needless anxiety
  • To impersonate any third party or otherwise mislead as to the origin of your contributions
  • To reproduce, duplicate, copy or resell any part of our Website or its Content in a way that is not in compliance with these T&C or any other agreement with us.

LOG FILES

We use IP addresses to analyse trends, administer the site, track user’s movement, and gather broad demographic information for aggregate use. IP addresses are not linked to personally identifiable information. Additionally, for systems administration, detecting usage patterns and troubleshooting purposes, our web servers automatically log standard access information including browser type, access times/open mail, URL requested, and referral URL. This information is not shared with third parties and is used only within this Company on a need-to-know basis. Any individually identifiable information related to this data will never be used in any way different to that stated above without your explicit permission.

PROMO CODE

For our current students, we offer courses at a discounted price with a promo code and a special checkout page. You are not allowed to share the promo code with people that are not I Learn French’s students yet. The Company does not have an obligation to provide promo code and can stop selling courses at discounted price at any time without prior notice. 

YOUR ATTENDANCE TO YOUR COURSE

As I Learn French is a results oriented school, you are required to attend your course (private or group classes). We know by experience that more than 4 no show, absences  will lead to a failure of the entire course. As a consequence, any student absent more than 4 classes will be automatically removed from the course without refund. I Learn French is a school with goals. This is not a café where you come whenever you feel like. 

For private French classes: 

Be on time. You will not be accepted if you are late. Please note that you will not receive a refund for missed classes.  

If the teacher is not notified ahead of time that you will be late, they will only wait 15 minutes past the scheduled start of the class for you to arrive before leaving, and the class will be charged at the agreed hourly rate as a full class. 

You are allowed to postpone one Private class per month. Any other classes postponed will be considered as canceled without sufficient notice and class will be charged at the agreed hourly rate. Students who are disorganized and cancel or postpone regularly may see their course canceled without refund. 

Be nice to your teachers! Any appointments and private classes  canceled within 48 hours of the appointment are due and will be charged at the agreed hourly rate.

FOR EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY

The information contained on this Website and the resources available for download through this website are for educational and informational purposes only. You are not allowed to use, sell, or reproduce them to teach French without a previous written authorisation from I Learn French. 

USER’S PERSONAL RESPONSIBILITY

By using this Website, you accept personal responsibility for the results of your actions. You agree to take full responsibility for any harm or damage you suffer as a result of the use, or non-use, of the information available on this Website or the resources available for download from this Website. You agree to use judgment and conduct due diligence before taking any action or implementing any plan or policy suggested or recommended on this Website.

ERRORS AND OMISSIONS

This is a language school and the language is alive. Rules, grammar, exceptions, neologisms, and new words will come and go during your journey learning the language. We have taken reasonable steps to ensure that the information contained in this course is accurate, but we cannot represent that the language is free of errors. You accept that the information contained on this Course may be erroneous and agree to conduct due diligence to verify any information obtained from this Course and/or resources available on it prior to taking any action. You expressly agree not to rely upon any information contained in this website.

AFFILIATE LINKS

From time to time, the Company participates in affiliate marketing and may allow affiliate links to be included on some of our pages. This means that we may earn a commission if/when you click on or make purchases via affiliate links.

As a policy, the Company will only affiliate with products, services, and other experts that we believe will provide value to our customers and followers.

You will not rely on any recommendation, reference, or information provided by the Company but will instead conduct your own investigation and will rely upon your investigation to decide whether to purchase the affiliate product or service.

PROGRAM/SERVICE

I Learn French agrees to provide Course, “Digital French Academy” (herein referred to as “Course”) identified in online commerce shopping cart. As a condition of participating in the Course, you agree to be bound by and to abide by all policies and procedures set out in this Agreement, including those incorporated by reference.

As part of the Course, the Company shall provide the following to Client:

FEES

In consideration of your access to the Course, you agree to pay the fees assigned to the Course of your choice.

Courses are paid with a single payment upfront. This Company does not offer a payment plan. There is no discount nor trial for new clients. This Company respects its teachers and won’t reply to any request for a discount or trial that might lead to reducing the income of our teachers. 

In consideration of your access to the Membership, You agree to pay the annual or monthly fees listed on the checkout page for the Membership you choose.

The Company will lock in Your annual or monthly payment amount for Your future Membership payments, even if we increase our prices in the future, so long as you continue to be an active subscriber without interruption in your Membership. However, if You or we terminate Your subscription at any time and You re-subscribe at a later date, You must purchase a new subscription at the current price.

Recurring monthly payments are due and will be charged to your card on the same calendar day each month (if, for example, you sign up on April 12, your card will be charged again on May 12, June 12, and so on).

You are allowed to cancel your membership at anytime.  In the event that any payment is not made by the due date, the Company shall immediately suspend Your access to the Membership. Once you stop your membership, your access to the membership including the Facebook Group, the transcripts of the podcast will be deleted. Only students who joined our courses before the 1st of May 2020 have access to the bonuses of the Facebook group or the transcripts of the podcast as long as we are in business. 

If You have chosen an annual Membership subscription, the annual payment is due and Your subscription renews automatically at the end of twelve (12) months and Your debit/credit card will be charged the fee You chose at the time of purchase. Your subscription will be activated as soon as Your debit or credit card is successfully charged.

To Cancel your membership : Go to https://school.ilearnfrench.eu/login > top right area in your member area > profil > settings > billing information 

METHODS OF PAYMENT

You hereby authorize the Company to charge your credit card or debit card automatically according to the terms set forth in the Fees section above. Payment should be made before your course. You won’t have access to the material and information about your French course before payment. 

For Memberships, you give the Company permission to automatically charge your credit or debit card for all fees and charges due and payable to the Company, without any additional authorization, for which you will receive an electronic receipt.  You also agree that the Company is authorized to share any payment information and instructions required to complete the payment transactions with its third-party payment service providers (e.g., credit card transaction processing, merchant settlement, and related services).

Regarding recurring payments and outstanding invoices: If all eligible payment methods we have on file for you are declined for payment of your monthly or annual fees, you must provide a new eligible payment method promptly or your Membership access will be removed.

You agree to reimburse the Company for all collection and/or legal fees and expenses necessitated by lateness or default in payment.

Since we have a clear and explicit Refund Policy that you have agreed to prior to completing the purchase of the Membership, we do not tolerate or accept any type of chargeback threat or actual chargeback from your credit card company or payment processor. In the event that a chargeback is placed on a purchase or we receive a chargeback threat during or after your purchase, we reserve the right to report the incident to all three credit reporting agencies or to any other entity for inclusion in any chargeback database or for listing as a delinquent account which could have a negative impact on your credit report score. The information reported will include your name, email address, order date, order amount, and billing address. Chargeback abusers wishing to be removed from the database shall make the payment for the amount of the chargeback.

I Learn French is not liable for any late payment fees or reclaimed failed payments. For members making their monthly membership payment through Credit Card and Stripe, it is your responsibility to ensure your bank card details are correct and up to date. 

I Learn French does not accept payment in the form of cheques or bank transfer. Consequently, all purchases and agreements entered into will cease with immediate effect until such time as any and all outstanding monies are recovered in full.


I LEARN FRENCH REFUND POLICY

I Learn French wants you to be satisfied with your purchase, but we also want you to give your best effort to apply all of the strategies in the course. The Company provides a 30 money-back guarantee for the Program (Intensive course).  That money-back guarantee is governed by the following terms.

In order to qualify for a refund you must submit proof that you did the work in the course and it did not work for you. In the event that you decide your purchase was not the right decision, within 30 days of enrollment, contact our support team at support@ilearnfrench.eu and let us know you’d like a refund by the 30th day at 11:59 CET/ Paris-time. You must include your coursework with your request for a refund. You must have attended every single class, participate orally with your teacher and your classmates and be an active student. If you request a refund and do not include your coursework by the 30th day, and on the replay of the courses we see that you didn’t participate you will not be granted a refund.

 

The work that you need to submit with your request for a refund includes ALL of the following items:

→ Requirement 1 : All homework provided by your teacher filled in. 

→ Requirement 2: Your placement test BEFORE the first day of your class. A placement test taken after the first day of the Course cancels automatically the possibility of a refund. 

→ Requirement 3: Your notes during the classes. (Vocabulary, grammar explanation, translations…) 

→ Requirement 4: We’ll also rewatch your classes to see if you really participated or not. 

→ Requirement 5: Full attendance and active participation in every single class online and live. One missed class automatically cancels the possibility of a refund, making you ineligible. 

→ Requirement 6: A document telling us why this course was not a good fit for you and your French skills. Clearly define what did you expected that you did not get during the course. 

It’s not possible to cancel your course before the first day of this course. 

You can postpone your course only once. 

We will NOT provide refunds more than 30 days following the date of purchase. After day 30 all payments are non-refundable and you are responsible for full payment of the fees for the program regardless if you complete the program or not.

Upon determining that you are entitled to a refund pursuant to this policy, the Company will promptly issue an instruction to its payment processor to issue the refund. The refund will be operated through Stripe only. The refund will be made automatically on the same Credit Card / method of payment. The Company does not control its payment processor and will not be able to expedite any refunds.

 

If you receive a refund of any purchase through this money-back guarantee, that shall immediately terminate any and all licenses granted to you for using the material provided to you under this Agreement and the Company’s Terms of Use. You shall immediately cease using the material and shall destroy all copies of the information provided to you, including without limitation: video recordings, audio recordings, forms, template documents, slide shows, membership areas, social media groups limited to paying members, and other resources.

Your access to the transcript of the podcast and the facebook group will also be canceled. 

All refunds are discretionary as determined by I Learn French. To further clarify, we will not provide refunds after the 30th day from your date of purchase and all payments must be made on a timely basis. If payments are not made on time, you agree to pay interest on all past-due sums at a rate of 1.5% per month or the highest rate allowed by law, whichever is greater.

Refunds are only applicable to Intensive and Weekly Dose of French courses. 

We do not provide any refunds for monthly subscriptions and memberships. Please note that you will not receive a refund for missed classes. 

We do not provide any refunds for digital courses. Once purchased, this course are concidered as consumed. 

We do not provide a refund of any sort for private French classes. Unclaimed private French classes after 180 days of the last private French classes are lost and non refundable. 

During the promotion of our courses, we may offer one course FREE to the first student who joins the course. We will not provide refund to other potiential students who didn’t win. You are responsible for full payment of the fees for the program regardless if you win the Free course or not. 

DIGITAL GOODS AND MEMBERSHIPS 

By policy, we don’t accept refund requests on the sale of digital goods unless it’s stated clearly on a published sales page. Here’s why: Digital products are much different than physical goods. By returning a physical good to a seller, the merchant gets to keep the original value of that product. With digital goods, a return is a total and complete loss to the merchant, especially once the course has been “consumed.” While we’re not in this for the money, this hinders our mission: To help one person be confident to speak French. We hope you can understand.

Our courses are centered around growing your French skills and are undoubtedly difficult and complex to accomplish. It’s my mission to make the complex simple. But the hard work still must be done. Once you learn how, the execution is in your hands. If you want to speak French you have to ….speak. 

Rest assured: I obsess over the quality of my learning material and I test everything with beta users first to make sure that the content works. The testimonials speak for themselves!

So instead of requesting a refund, we invite you to ask questions. Get the information you need to attain the goals you want. This will help us make better products and improve the products we have.

GROUP CLASSES 

Please note when you are billed in order to cancel your membership. It’s your responsibility to know when your course will be charged each month. Therefore, make sure to cancel your membership on time as we won’t offer refunds of any sort on Group classes. 

PRIVATE FRENCH CLASSES 

All sales are final. 

Any class postponed less than 48 hours before  the scheduled class is considered a canceled class and payment is due at the agreed hourly rate. 

Private French classes must be taken within 180 days (including bank holidays) after the issued invoice. Any remaining classes after 180 days are, forfeited and non refundable. 

CHANGING GROUP OR LEVEL 

Before joining our group course, you agree to take the placement test and to complete it before the first day of your course. 

This placement test helps our team to put you in the right group and to create a homogenous group. 

This placement test is personal and meant to be completed individually. Do not ask for help to complete it otherwise you’ll be put in the wrong group and you’ll be a party crasher for your group and teacher. 

If you feel you are not in the right group, you are required to take the placement test. Without a placement test, you won’t be able to change groups and you won’t be eligible to ask for a refund, to cancel, or postpone your course. 

The level you are assigned is an estimated level based on the Common European Framework of Reference for Languages of the European Union Council Resolution and it may vary from teachers and schools. 

We highly value group spirit, as a consequence, it’s not possible to attend a group/schedule for one week and change the second week of the course to adapt to your busy schedule, travels or any other circumstances. No Exceptions. 

You can change groups only on the first day of your class. 24 hours after the first class, your request to change groups won’t be accepted and the refund won’t be granted. 

Your teacher can request you to change groups if your teacher evaluates that you are in the wrong group. In case you are not in the right group, you’ll automatically be assigned in the group of your level. We put all our efforts into reassigning you in a group on the same schedule. If all groups are full you may be offered a refund or postpone your course to the next month. 

CANCELING YOUR COURSE

It’s not possible to postpone or cancel your course a week prior to the first day of class based on external circumstances that are not related to the school. 

For example : 

”I decided to extend my trip and I’m not available in the time I previously booked”. 

”I broke up with my partner and I want to postpone my studies”. 

”My kids are at home and I can’t do my homework”. 

”I took the placement test and I’m not happy with my results”. 

“I bought my course compulsively”.  

“I have a bad internet connection”. 

If you would like to cancel Your monthly subscription, You may request to do so at any time after the 3 first months of your membership by emailing our support team at : info@ilearnfrench.eu

However, please note that in order to avoid being charged for the next month, You must notify the Company of your request to cancel 10 business days before the next month and 5 days prior to Your upcoming billing date.  You will continue to have access to the membership until your cancellation takes effect on the day or so before your next billing date.

For example: 

If you would like to cancel your course in July, you must contact us before the 20th of June. You’ll continue to have access to your live classes (course) until the end of June. 

If you paid your first course on 20th of June, you’ll be charged every month on 20th. If you decide to cancel your membership starting in December, you are required to cancel your membership at the latest on 20th of November and you’ll have access to your course until the end of November. 

Once We process your cancellation request, You will no longer be charged. Payments for the next billing cycle will not be refunded, so please make sure to cancel 10 business days before the next month and 5 days prior to Your upcoming billing date.

We do not provide any refunds for monthly and annual subscriptions.

For annual subscriptions, you may cancel your membership at any time, meaning it will not renew after the initial 12 months. We do not offer refunds on annual membership subscriptions.

If we cancel your subscription in accordance with the terms of this Agreement, we reserve the right to refuse to issue any refund. 

Upon cancellation of your subscription (whether month-to-month or annual), you will no longer have access to the members-only portal and will be removed from the Facebook Group prior to the last business day of the month in which your membership is active. All assets such in the members-only portal are downloadable during the term of your active subscription, except for the replays of your course. 

If you have signed up to the monthly membership subscription and would like to switch to an annual membership, our team will be happy to help transfer this for you. Please allow at least 3 days prior to your monthly billing date for us to process the change from a monthly to annual membership in time. Switching from an annual membership to monthly membership is not possible during your first 12 months, however if at the end of your 12 month membership you would prefer to pay monthly instead, our team can happily help you with this.

FORCE MAJEURE

The Company shall not be liable or responsible to You, nor be deemed to have defaulted or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement when and to the extent such failure or delay is caused by or results from acts or circumstances beyond the reasonable control of the Company including, without limitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion, or hostilities (whether war is declared or not), terrorist threats or acts, riot, or other civil unrest, national emergency, revolution, insurrection, epidemic, pandemic, lock-outs, strikes or other labor disputes (whether or not relating to either party’s workforce), or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials, materials or telecommunication breakdown or power outage.

CONFIDENTIALITY

The Company respects the privacy of its clients and will take reasonable steps not to disclose any information You provide except as set forth in this Agreement. As a condition of participating in the Membership, you hereby agree to respect the privacy of other Membership participants and to respect the Company’s confidential information.

Specifically, you shall not share any information provided by other Course and Membership participants outside of the bounds of the Course and Membership unless you receive express written permission from such other participant to share the information. Similarly, the content of the Course and the Membership contains the Company’s proprietary methods, processes, forms, templates, and other information. You hereby agree not to share the information provided to You in the Course and the Membership with anyone other than the Company, its owners and employees, and other Membership participants.You agree not to download and not to share the replays/videos of your classes. You agree not to store and share the replays/videos of your classes. 

Please choose carefully the materials that you upload to, submit to, or embed on any website operated by the Company and any third-party forums operated by the Company. Any material you post on the Company’s website or in any third-party forums operated by the Company may become public.

By posting or submitting any material in the Membership, such as questions, comments, posts, photos, reviews on the website or Google Business, images, videos or other contributions, you are representing to us that you are the owner of all such materials and you are at least 18 years old. You are also granting us, and anyone authorized by us, an unlimited, royalty-free, perpetual, irrevocable, non-exclusive, unrestricted, worldwide license to use, copy, modify, transmit, sell, create derivative works from, distribute, and/or publicly perform or display your contributions, in whole or in part, in any manner or medium, now known or developed in the future, for any purpose, and granting us the right to make it part of our current or future Membership or other content. This right includes granting us proprietary rights or intellectual property rights under any relevant jurisdiction without any further permission from you or compensation by us to you.  You acknowledge that we have the right but not the obligation to use any contributions from you and that we may elect to cease the use of any such contributions in the Membership at any time for any reason.

You also grant us the right to use your likeness and identify you by name, email address, or screen name as the author and individual depicted in any comments, posts, photos, images, videos or other contributions created by you that reference the Company or the Membership, and to identify you as a member of the Membership by name, email address, or screen name, for any purposes, including commercial purposes and advertising.

We will not sell, share, or rent your personal information to any third party or use your e-mail address for unsolicited mail. Any emails sent by this Company will only be in connection with the provision of agreed services and products.

PRIVACY STATEMENT 

We are committed to protecting your privacy. Authorized employees within the company on a need to know basis only use any information collected from individual customers. We constantly review our systems and data to ensure the best possible service to our customers. Parliament has created specific offences for unauthorised actions against computer systems and data. We will investigate any such actions with a view to prosecuting and/or taking civil proceedings to recover damages against those responsible. 

NO TRANSFER OF INTELLECTUAL PROPERTY

All content included as part of the Program, such as text, graphics, logos, images, the transcripts of the podcast “le français avec Yasmine”, the videos/replays of your classes as well as the compilation thereof, and any software used in the Program, is the property of the Company or its suppliers and protected by copyright and other laws that protect intellectual property and proprietary rights.

The Company name, the Company logo, the Company slogan, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs and slogans in the Program are the trademarks of their respective owners.

Your participation in the Program does not result in a transfer of any intellectual property to You, and, as a condition of participation in the Program, You agree to observe and abide by all copyright and other intellectual property protection.

You are granted a single-use, non-exclusive, non-transferable, revocable license to access and use the Program content and resources. You hereby agree that You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found in the Program.

The Company content is not for resale. Your participation in the Program does not entitle you to make any unauthorized use of any protected content, and in particular you will not delete or alter any proprietary rights or attribution notices in any content. You will use protected content solely for your individual use, and will make no other use of the content without the express written permission of the Company and the copyright owner. You agree that you do not acquire any ownership rights in any protected content. We do not grant you any licenses, express or implied, to the intellectual property of the Company or our licensors except as expressly authorized herein.

You hereby agree that any infringement of the Company’s intellectual property shall result in an immediate termination of the license granted hereunder. To be clear, if you violate the Company’s intellectual property rights, your access to the Program will be terminated immediately, and you shall not be entitled to a refund of any portion of the fees.

Specifically, you shall not share any information provided by other Program participants outside of the bounds of the Program unless you receive express written permission from such other participant to share the information. Similarly, the content of the Program contains the Company’s proprietary methods, processes, forms, templates, and other information. You hereby agree not to share the information provided to You in the Program with anyone other than the Company, its owners and employees, and other Program participants.

Your use of any materials found in the Membership other than that expressly authorized in this agreement or by a separate written assignment, is not permitted (“Unauthorized Use”). You agree to pay liquidated damages of five (5) times the total fees paid for the Membership in the event of your Unauthorized Use, or a minimum of €5,000 if you did not pay fees for the Membership, in addition to any legal or equitable remedies the Company may be entitled to pursue.  This is not a penalty but an agreed liquidated damages charge for the Unauthorized Use.     

You agree that any violation or threatened violation of the Intellectual Property Rights terms in this Agreement would cause irreparable injury to Us that may not be adequately compensated by damages, entitling Us to obtain injunctive relief, without bond, in addition to all legal remedies.

By ordering our Courses, you agree that the Courses you purchase or download may only be used by you for your personal or business use and may not be sold or redistributed without the express written consent of the Company. 

All products and materials within the membership will always remain the property of the business and are not to be reproduced or distributed.

MISCELLANEOUS

You agree to absolve and do hereby absolve the Company of any and all liability or loss that you or any person or entity associated with you may suffer or incur as a result of use of the Membership and/or any information and resources contained in the Membership. You agree that the Company shall not be liable to you for any type of damage, including direct, indirect, special, incidental, equitable, or consequential loss or damages for use of the Membership.

The information, software, products, and services included or available through the Membership may include inaccuracies or typographical errors. Changes are periodically added to the information in the Membership. The Company and/or its suppliers may make improvements and/or changes in the Membership at any time.

The Company and/or its suppliers make no representations about the suitability, reliability, availability, timeliness, and accuracy of the information, software, products, services, and related graphics contained in the Membership for any purpose. To the maximum extent permitted by applicable law, all such information, software, products, services, and related graphics are provided “as is” without warranty or condition of any kind. The Company and/or its suppliers hereby disclaim all warranties and conditions with regard to this information, software, products, services, and related graphics, including all implied warranties or conditions of merchantability, fitness for a particular purpose, title, and non-infringement.

To the maximum extent permitted by applicable law, in no event shall the Company and/or its suppliers be liable for any direct, indirect, punitive, incidental, special, consequential damages or any damages whatsoever including, without limitation, damages for loss of use, data, or profits arising out of or in any way connected with the use or performance of the Membership, with the delay or inability to use the Membership or related service, the provision of or failure to provide services, or for any information, software, products, services, and related graphics obtained through the Membership, or otherwise arising out of the use of the Membership, whether based on contract, tort, negligence, strict liability, or otherwise, even if the Company or any of its suppliers has been advised of the possibility of damages. Because some States or other jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitations may not apply to You. If you are dissatisfied with the Membership or any portion of it, your sole and exclusive remedy is to discontinue using the Membership.

ASSIGNMENT

Clients may not assign this Agreement without express written consent of the Company.

MODIFICATION AND NOTIFICATION OF CHANGES

Company may modify terms of this agreement at any time. All modifications shall be posted on the I Learn French EURL’’s website and purchasers shall be notified.

The Company reserves the right to change these conditions from time to time as it sees fit and your continued use of the site will signify your acceptance of any adjustment to these terms. If there are any changes to our Privacy Policy, we will announce that these changes have been made on our home page and on other key pages on our site, however, we encourage visitors to our website to check our policies available for changes. If there are any changes in how we use our site customers’ Personally Identifiable Information, notification by email will be made to those affected by this change. You are therefore advised to re-read this statement on a regular basis.

These terms and conditions form part of the Agreement between the Customer and ourselves. Your accessing of this website and/or undertaking of purchase, membership or Agreement indicates your understanding, agreement to and acceptance of the Disclaimer Notice and the full Terms and Conditions contained herein. Your statutory Consumer Rights are unaffected.

TERMINATION

The Company reserves the right, in its sole discretion, to terminate your access to the Program and the related services or any portion thereof at any time, if You become disruptive to the Company or other Program participants, if You fail to follow the Program guidelines, the rules for attending the group classes course and the private French classes, or if You otherwise violate this Agreement. You shall not be entitled to a refund of any portion of the fees and shall not be excused from any remaining payments under a payment plan in the event of such termination.

4 absences to your course will automatically lead to termination of your access to the Program and the related services. 

The Company reserves the right to remove inactive students from the Facebook group and the Website after more than 365 days of inactivity.

You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, and third parties for any losses, costs, liabilities, and expenses (including reasonable attorneys’ fees) relating to or arising out of your use of or inability to use the Program and related services, any user postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. The Company reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with the Company in asserting any available defenses.
